Two local oil and gas (O&G) service providers, SapuraCrest Petroleum Bhd and Kencana Petroleum Bhd, are set to merge and become the largest O&G service provider by asset size in the country, allowing it to undertake larger and more complex projects in a proposed deal valued at RM11.85bil. Both companies announced yesterday they received offer letters from special-purpose vehicle (SPV) Integral Key Sdn Bhd (IKSB) to buy up the assets and liabilities of both companies, to be paid for in cash and new shares in the new merged entity. Both SapuraCrest and Kencana will then distribute the cash and IKSB shares they receive, back to their shareholders. This will result in the current shareholders of SapuraCrest and Kencana owning shares in IKSB.

KPJ Healthcare Bhd’s wholly-owned subsidiary Kumpulan Perubatan (Johor) Sdn Bhd (KPJSB) has signed a joint venture deal with Yayasan Islam Perlis (YIP) to build and operate a hospital on a leasehold 4.33 acres in Kangar. The private healthcare facility will be known as KPJ Perlis Specialist Hospital.

Silk Holdings Bhd has secured four long term contracts worth a total of RM39.75mil from Petronas Carigali Sdn for the provision of four units of anchor handling tug supply vessel (AHTSV). Silk Holding said the contracts would not materially affect the results of Silk for the financial year ending July 31 but was expected to contribute positively to its earnings and assets for the financial year ending July 31, 2012.

Securities of Sunway Holdings Bhd and Sunway City Bhd (SunCity) will be suspended for trading from Aug 2 until the removal of both companies from the official list of Bursa Securities.  Both companies’ shareholders had agreed at an EGM last month to a proposal that would see a new company (newco) called Sunway Sdn Bhd take over Sunway and SunCity in a RM4.5bil deal via cash and share swaps.vNewco proposed to take over Sunway Holdings for RM2.60 a share and SunCity at RM5.10 a share, as well as buy Sunway Holdings and SunCity warrants at RM1.50 and RM1.29 respectively. Under the deal, new shares in newco will be issued, valued at RM2.80 per share. The newco will merge the assets and liabilities of Sunway and SunCity. A new Sunway entity is expected to be listed on the Main Market of Bursa Malaysia in the third quarter of this year.

Inari Bhd, which is en route to a listing on the ACE Market of Bursa Malaysia on July 19, had its initial public offering (IPO) oversubscribed by 10.42 times. At an issue price of 38 sen per share, Inari's IPO raised RM31.54mil in proceeds for the group. About RM17.5mil from the proceeds will be allocated for capital expenditure, including the building of a new assembly and manufacturing facility in Penang which is due to be completed in the first quarter of 2012.

Bumi Armada Bhd’s institutional price under its initial public offering (IPO) was fixed at RM3.03 per share after the completion of the bookbuilding process. In a Bursa Malaysia filing yesterday, the offshore oil and gas services provider stated that the final retail price was fixed at RM3.03 per share. The company will refund the 12 sen difference between the final retail price and the retail price of RM3.15 per issue share, within 10 market days from the date of the final ballot of the applications. The retail offering closed on July 7.

Worries about the Greek debt issue and the slide on Wall Street will weigh on investors’ sentiment in the week ahead, starting Monday, June 27, and maybe investors may give up the hope of window dressing as the first half draws to an end.

Malaysia Airports Holdings Bhd (MAHB) hopes the result of its bid for the expansion of the Prince Mohammed Bin Abdulaziz Airport in Madinah will come out by year-end. “We’ve already submitted our bid. The work is through a consortium to build a new terminal and runway,” MAHB managing director Tan Sri Bashir Ahmad said on Friday at the inaugural GLC Open Day 2011 organised by Khazanah Nasional Bhd. MAHB had prequalified to bid for the work based on its experience and also strong technical knowledge, he said.

CRUDE palm oil (CPO) futures on Bursa Malaysia Derivatives are likely to see continued bearish sentiment.
Jim Teh, Interband Group of Companies' senior trader, said technical correction could drive the market with CPO prices hovering between RM2,800 and RM3,000 per tonne. “Buyers will not actively enter the market this week due to the current high prices,” he told Bernama.

TALAM Corp Bhd, once the country's largest builder of low- and medium- cost houses, has unfortunately been making headlines for the wrong reasons. Recently, the company reported a net loss of RM25.97mil for its first quarter ended April 30, 2011 versus a net profit of RM1.57mil in the previous corresponding period, mainly attributable to lower progress billings generated from the development projects during the quarter under review. Revenue for the period plunged 43% to RM13.18mil from RM23.26mil a year earlier.

LNG Resources Bhd is upbeat on the prospects for the connector industry as many new innovative products required connectors in their settings and assemblies. Managing director Low Chee Thean quoting a Bishop & Associates' research said 2010 was a comeback year for the connector industry following improvement in the global connector sales. He said global connector sales last year was estimated at US$44.2bil, an increase of 28.4% after a sharp decline of 21.8% in 2009 oneconomic recessions in Europe and the United States.

Kencana’s earnings rose 81% to RM56.42 million in the third quarter ended April 30, 2011 from RM31.17 million a year ago underpinned by the progress achieved for the contracts. Revenue rose 34.7% to RM377.83 million from RM280.37 million. Earnings per share were 3.08 sen versus 1.92 sen a year ago.
When compared with a year ago, where revenue and pre-tax profit came in at RM280.37 million and RM36.5 million, this was an improvement of 35% and 91% respectively in the current quarter.

Muhibbah was awarded a RM338 million contract from Northport (Malaysia) Bhd to build a multipurpose wharf and the associated facilities. Hopefully, this could inject some positive news into the stock which was battered by its exposure to the Asian petroleum hub debacle.
Muhibbah said the wharf would be an extension to the existing wharf eight and upgrading of wharf 16. The contract is scheduled to start in July and completed in March 2014.

Subur Tiasa’s  net profit in the third quarter ended April 30, 2011 fell 19.5% to RM8.40 million from RM10.44 million a year ago but it expects the outlook to be positive on firm demand overseas. “The market outlook for timber and timber products in the coming quarter remain positive with the continued firm demand for timber in India and China,” it said. The company’s financial performance was impacted by higher operational costs due to the increase in raw material, fuel and adhesive costs. Revenue declined 11.8% to RM144.66m from RM164.12 million. Earnings per share were 4.62 sen compared with 5.55 sen. Subur Tiasa said for the nine-month period, net profit was flat at RM23.838 million while revenue declined 4.8% to RM486.22 million from RM510.79 million.

Tambun Indah has several ongoing projects on mainland Penang with total GDV of RM1.6 billion, which is enough to last until 2016.

CIMB Group Holdings Bhd’s 97.9% (indirectly held) subsidiary, PT Bank CIMB Niaga Tbk (CIMB Niaga), reported a consolidated net profit (unaudited) of 727.53 billion rupiah in the first quarter ended March 3 1, which was 39% higher than the same period last year.


Yeo Hiap Seng (M) Bhd’s net profit for its quarter ended March 31 was up 35.7% to RM7.6mil year-on-year supported by higher sales from Yeo’s core products.

Seacera Tiles Bhd has proposed to dispose of four parcels of freehold land of 59,053 sq m together with a factory to Suong Sdn Bhd for RM62mil and lease back the property.

Kencana secured a RM208 million contract for the fabrication of a substructure for the Kebabangan northern hub development project off the coast of Sabah from Kebabangan Petroleum Operating Company (KPOC). Under the contract, it would build and commission the substructure for the Kebabangan northern hub.

MPI reported an 81% decline in its third quarter earnings to RM5.05 million from RM27.14 million a year ago due to the strengthening of the ringgit against the US dollar and rising commodities prices. Revenue fell 5.3% to RM334.82 million from RM353.68 million while earnings per share were 2.61 sen compared with 13.92 sen. It proposed dividend of 10 sen a share.

Tricubes Bhd is going to make a cash call to fund the controversial myemail project that will require a RM50 million investment over 10 years.

Sealink International Bhd has recommended a final single tier tax exempt dividend of 2.7 sen per share totalling RM13.50 million for the financial year ended Dec 31, 2010. The dividend entitlement date is Sept 12 and payment date Sept 28.

ECM Libra’s earnings surged 250% to RM45.84 million in the fourth quarter ended Jan 31, 2011 from RM13.12 million a year ago, boosted by higher brokerage and fee income and also from trading and investment securities. Revenue doubled to RM105.84 million from RM46.79 million a year ago  while earnings per share were 5.61 sen. It proposed dividend of 4.25 sen per share. For the financial year ended Jan 31, 2011, net profit rose 59.7% to RM65.21 million from RM40.81million in the previous financial year. Revenue rose 60.2% to RM214.64 million from RM133.96 million.

Khazanah Nasional Bhd and its advisers yesterday shortlisted three companies for the sale of its 32.21% stake in Pos Malaysia Bhd. According to sources, the three companies are DRB-HICOM (M) Bhd, Nationwide Express Courier Services Bhd and Scomi Group Bhd.

Ekovest Bhd has signed a joint-venture and shareholders’ agreement with Malaysian Resources Corp Bhd (MRCB) and KL Bund Sdn Bhd in relation to the River of Life project.

Kencana Petroleum Bhd has secured a RM216 million contract from Petrofac Malaysia Ltd for the CONSTRUCTION [] of well head platforms for the Cendor oil field off the coast of Terengganu.

PETRA PERDANA BHD [], Koh Pho Wat ceased to be a substantial shareholder after disposing of one million shares on Monday at 94.5 sen a share. His direct stake was reduced to 4.78% or 21.517 million shares.

In RHB CAPITAL BHD [], the Employees Provident Fund board disposed of three million shares on March 24, reducing its stake to 959.96 million shares or 44.58%.

Boustead Holdings Bhd will see some steady recurring income from Pharmaniaga Bhd now that the latter has entered into a 10-year concession agreement with the Health Ministry to supply medical products to Government-owned hospitals.

Sabah-based downstream timber manufacturer Focus Lumber Bhd’s public issue of 6.9 million new shares under its planned listing exercise on Bursa Malaysia has been fully underwritten by Bank Islam and BIMB Securities.

Adhesive and sealant manufacturer OCI Bhd’s entire issued and paid-up capital would be removed from the official list of Bursa Securities with effect from Monday.

Karambunai Corp Bhd’s wholly-owned subsidiary, Karambunai Resorts Sdn Bhd, has signed a joint venture agreement with China Central Asia Group Co Ltd (CCAG) to develop the RM1bil first phase of the Karambunai Integrated Resort City (KIRC) in Kota Kinabalu.

SP Setia Bhd’s earnings rose 62.41% to RM62.03mil for the quarter ended Jan 31 versus a year earlier, on property development activities in the Klang Valley, Johor Baru and Penang.

Kencana Petroleum Bhd’s net profit for the second quarter ended Jan 31, 2011 grew by 56.69% compared with the corresponding quarter a year ago to RM50.60mil largely due to progress achieved for contracts in hand and better management of relevant costs, as well as contributions from drilling services.

Department store operator Parkson Holdings Bhd has entered into an “exclusivity agreement” with PT Tozy Bintang Sentosa for a period of 90 days for the purpose of developing and expanding in Indonesia.

Faber Group proposed to cancel 75 sen of the existing par value of its RM1 share in a move to reduce its accumulated losses. Based on its paid-up share capital as at Dec 31, 2010 of RM363.0 million, it said the credit arising from the reduction of the par value would be about RM272.3 million.

Cypark plans to invest RM94.29 million to build a 10Mw renewable energy plant with grid connection, at the RE Park in Pajam. The project is expected to generate gross national income (GNI) of RM12.16 million each year for the next 21 years, totaling RM255.36 million.

Asian markets retreated yesterday following gains in crude oil price as unrest in the Arab world triggered fresh protests in Iran. Nymex crude oil, which settled at US$99.63 a barrel on Tuesday, rose above US$100 per barrel early yesterday following reports of clashes between Iranian security forces and supporters of opposition leaders Mir Hossein Mousavi and Mehdi Karroubi, who were arrested last week together with their wives.

Kencana and Dialog but AirAsia and MAS could see downside pressure due to the crude oil price and following the International Air Transport Association’s (IATA) move to downgrade its airline industry outlook for 2011 to US$8.6 billion from the US$9.1 billion projected in December 2010.

Petroliam Nasional Bhd (Petronas) posted a RM10.1bil jump in net profit for its third quarter to RM23.7bil owing largely to proceeds from the listing of two subsidiaries on Bursa Malaysia but indicated high annual dividends to the Government will need to be cut in the future.

MMC Corp Bhd and Gamuda Bhd have entered into a shareholders agreement to regulate their rights and liabilities as shareholders of a company that will act as the project delivery partner for the Klang Valley Mass Rapid Transit (MRT) project.

Property developer SP Setia Bhd has bought 108.5ha of prime freehold land in Cyberjaya’s flagship zone for RM420.4mil from Setia Haruman Sdn Bhd.
Palm-to-property conglomerate Sime Darby Bhd said yesterday it has not entered into any agreement to invest in Cameroon oil palm plantations. The company was responding to a media report which said it was considering a US$2.5bil plantation expansion deal in the African nation.
Proton Holdings Bhd's endeavour to incorporate select technologies and manufacturing expertise from Nissan Motor Co could lead to potential cost savings in capital expenditure (capex) and research and development (R&D) for the national carmaker. OSK Research said the memorandum of understanding (MoU) signed on Tuesday between Proton and Nissan to conduct feasibility studies to use the latter's platform and power train for upcoming Proton models would augur well for the national car company. “We believe that using Nissan's versatile platform and power train for Proton's upcoming global compact car will lighten the national carmaker's capex burden, given that such an endeavour can be costly (at least US$150mil to US$200mil),” OSK said in a report yesterday.

Axiata could be in focus after Celcom posted net profit after tax and minority interests of RM1.9 billion for the financial year ended Dec 31, 2010, which was an increase of 23% on-year. Its revenue rose 8.3% to RM6.85 billion. Celcom had allocated RM1 billion as capital expenditure to enhance network coverage capacity and quality of which 60% is for data and 40% for voice.

Johor Corp will sell a parcel of land it owns in Johor as part payment for the RM3.6bil debt that is due in July 2012, says president and chief executive officer Kamaruzzaman Abu Kassim. He also said the land had a market value of more than RM2bil.

Kencana Petroleum Bhd hopes to start recouping its portion of investment, estimated at US$200mil, in the Berantai marginal oil field development within two years, says chief executive officer Datuk Mokhzani Mahathir. Kencana is part of a consortium, which includes SapuraCrest Petroleum Bhd and Petrofac Energy Developments Sdn Bhd to develop and operate an oil and gas field in Berantai, Terengganu estimated to cost a total of US$800mil.

Khazanah Nasional Bhd said yesterday that all bidders for its 32.21% stake in Pos Malaysia Bhd will be given an equal opportunity and that its divestment will undergo “a fair and transparent process”.The bidders will be considered based on their strategy and business plan, followed by the offer price. The name of the shortlisted bidders will be revealed to the panel after the shortlisting process is completed. These shortlisted bidders will then be invited to submit their revised strategy and business plan as well as their final offer.”

For the nine months ended Dec 31, AMMB’s net profit rose 34% to RM1.03 billion from RM766.87 million, on the back of revenue RM5.3 billion, up from RM4.87 billion a year earlier.

Tasek’s earnings in the fourth  quarter surged 325% to RM69.1 million from RM16.25 million. The much improved group results apart from the RM43.6 million gain from disposal of PLANTATION [] and other
property, was mainly in line with the increase in group's total revenue compounded by better local cement sales margin. Tasek said revenue rose 15% to RM133.67 million from RM116.08 million. Earnings per share were 43.3 sen compared with 8.77 sen. It proposed a bumper dividend, comprising of preference dividend of 6%, ordinary dividend 30% and special dividend 50%.

Mudajaya’s net profit for the fourth quarter ended Dec 31, 2010 rose 39% to RM57.09 million from RM41.05 million a year earlier, driven by the increased level of activities. Revenue rose to RM230.29 million from RM211.76 million a year ago. Earnings per share were 13.96 sen while net assets per share rose to RM1.75 from RM1. Mudajaya proposed a final dividend of 3.0 sen per ordinary share of 20 sen each under the single tier system for FY10. For the 12 months in 2010, Mudajaya’s net profit surged 75% to RM208.45 million from RM119.18 million a year ago, on the back of revenue RM869.43 million.

Hap Seng Consolidated’s net profit for the fourth quarter ended Dec 31, 2010 surged to RM103.13 million from RM7.69 million a year earlier, driven by improvement in revenue in all divisions except for fertilisers trading which was affected by lower average selling prices. Revenue rose 19.3% to RM810.88 million from RM679.6 million. Earnings per share were 18.30 sen while net assets per share was RM4.59. For the financial year ended Dec 31, 2010, Hap Seng’s net profit rose 222% to RM323.16 million from RM100.24 million a year ago. Hap Seng proposed to pay out as final dividend about 50% of its net profit tax and minority interest totalalling RM123.98 million or 22 sen per share.

RAMUNIA HOLDINGS BHD is eyeing some RM300 million worth of fabrication jobs this year as projects up for grabs start pouring into the market again, underpinned by the surge in crude oil prices. Chief executive officer Nor Badli Munawir Mohamad said on Friday that while Ramunia's existing order book was negligible, he expected it to grow this year after Petroliam Nasional Bhd  committed to opening more marginal oilfields and issue more oil and gas contracts this year.

Multi-Purpose Holdings Bhd (MPHB) will be announcing a major acquisition today, reliable sources said, although speculation is rife that the company could also be announcing the re-listing of its gaming subsidiary Magnum Corp Sdn Bhd. 

Tabung Haji, Mara in medical ventureIt is understood that Lembaga Tabung Haji and Majlis Amanah Rakyat (Mara) are expected to end up with a total of 45% equity stake in the newly-established Academic Medical Centre Sdn Bhd (AMC) that has a tie-up with world renowned Johns Hopkins Medicine International and Royal College of Surgeons (RCSI) in Ireland to offer courses at the soon to be set up RM2bil Perdana University Graduate School. Tabung Haji is likely to end up with 30% stake while Mara 15% in AMC. The remaining 55% equity will be held jointly by two companies controlled by businessman Tan Sri Dr Mohan Swami (pic). The two companies are Turiya Bhd and Chase Perdana Sdn Bhd.

On Tuesday, HWGB and its warrants, which fell in active trade after surging on Monday, accounted for more than 115 million units transacted. HWGB fell 15.5 sen to 77.5 sen and HWGB-WB lost 15.5 sen to 74 sen as traders sold on news about its proposed tin mining operations.
PJI secured a RM55.89-million sub-contract from IJM CONSTRUCTION [] Sdn Bhd for a college in Kedah. PJI said its unit P.J. Indah Sdn Bhd had received the letter of award from IJM for the mechanical and electrical services of Kolej Universiti Insaniah’s permanent campus.

KENCANA PETROLEUM BHD []’s 166.69 million new shares were placed out at RM2.38 each and raised gross proceeds of RM396.7 million. The issue price of RM2.38 was a discount of about 1.65% to the closing market price of RM2.42 on Jan 25.

Fraser & Neave Holdings Bhd posted a jump in net profit to RM107mil in its first quarter ended Dec 31, 2010 from RM77.7mil a year ago, on account of higher revenue and tax incentives enjoyed by its dairy plant in Rojana, Thailand.

The world’s largest synthetic glove manufacturer Hartalega Holdings Bhd posted slightly higher net profit of RM49.2mil for the third quarter ended Dec 31, 2010 from RM37.2mil a year ago, while its revenue rose to RM188.1mil from RM148.6mil.

Maxbiz Corp Bhd will hold an EGM in Kuala Lumpur on Feb 23 on the proposed removal of its auditors Gomez & Co with immediate effect and proposed appointment of STYL Associates as auditors for the financial year (FY) ended Dec 31, 2010, it told Bursa Malaysia yesterday.

Iris Corp is venturing into industrialised building system (IBS) via a joint venture with a joint venture with Koto Malaysia Sdn Bhd and Ambitech Sdn Bhd. Iris said it planned to develop the Koto IBS for mass building projects in Peninsular Malaysia. “Koto IBS is an alternative way to mass manufacture energy efficient housing, commercial buildings, high-rises and affordable housing.

Ireka secured a RM27.58-million contract to build the structure for the proposed City International Hospital in Ho Chi Minh City, Vietnam. It was awarded the contract by Hoa Lam-Shangri-La Healthcare Ltd Liability Co. The contract works are expected to be completed by Sept 30, 2011.“The contract is expected to contribute positively to the earnings of the Ireka group for the financial year ending March 31, 2012,” it said.

KENCANA PETROLEUM BHD  plans to finance the US$200 million required to jointly develop and operate the Berantai oil and gas field through an equity/debt fund raising exercise. “The detailed breakdown between the various sources of funding has yet to be determined at this juncture, pending completion of the company’s proposed fund raising exercises in its entirety,” it said on Monday, Feb 7, in response to a query by Bursa Malaysia.

SAPURACREST PETROLEUM BHD informed the stock exchange that it was in discussions with a leading local bank to secure the necessary funding to part-finance its unit, Sapura Energy Venture’s contribution to the cost of development of the Berantai field.

Kencana Petroleum Bhd's private placement of 166.7 million shares of 10 sen each via its book-building exercise has been completed. The issue price that has been fixed at RM2.38 each would result in gross proceeds of about RM397.6mil. The issue price represented about 1.65% discount to the closing price of Kencana shares on Jan 25 of RM2.42. It is believed that the shares were oversubscribed by 3.5 times.

Infrastructure builders Muhibbah Engineering (M) Bhd in consortium with Perunding Ranhill Worley Sdn Bhd has been awarded a RM1.07bil contract by Petronas Gas Bhd for works under its LNG regasification project. Muhibbah told Bursa Malaysia yesterday that the consortium received the contract for the engineering, procurement, construction, installation and commissioning alliance for the LNG regasification unit, island berth and subsea pipeline of the LNG regasification project.

SapuraCrest Petroleum Bhd, an integrated oil and gas service provider, said its wholly-owned unit received a letter of award for works valued at US$31.5mil from Petronas' subsidiary PC Myanmar (Hong Kong) Ltd.
The company told Bursa Malaysia yesterday that its unit TL Offshore Sdn Bhd received an award letter dated Jan 19 for the provision of transportation and installation of offshore facilities for PC Myanmar's Yetagun Phase 4 development at the Andaman Sea.

C.I. Holdings Bhd net profit for the second quarter ended Dec 31, 2010 rose 43% to RM11.27mil from a year ago mainly due to further economies of scale and prudent cost management.

Fraser & Neave Holdings Bhd's (F&N) foray into property development paid off well when it recently sold the second phase of Fraser Business Park in Pudu for RM63 million, which netted the group a gain of RM29.6 million.

The Edge FinancialDaily also reports the recent sharp rise in cocoa prices has brought a windfall for GUAN CHONG BHD [], which had earlier stocked up on the soft commodity at substantially lower prices. The company's profit margin has already widened substantially to 6.7 pct for the nine-month period ended Sept 30, 2010, from 1.8 pct in the previous corresponding period.

Jelas Unggul Sdn Bhd has failed to meet the deadline for placing the RM50mil deposit required by PLUS Expressways Bhd in its bid to undertake the latter's businesses, effectively leaving only one formal offer, that is by UEM Group Bhd (UEM) and the Employees Provident Fund (EPF), on the table. Following Jelas Unggul's failure to pay the deposit, the only formal offer left on the table is a joint offer by UEM and EPF at RM4.60 per share which works out to RM23bil made on Oct 15.

Oil and gas firm SAAG Consolidated (M) saw its share price soar 28.5% amidst news its unit has secured a RM239.5m contract to design and build a 40km train tramway in Melaka. The company announced yesterday to Bursa Malaysia that its unit, OGS Asiapac Ltd, has secured a US$75m (RM239.5m) design, engineering, procurement, construction and commissioning (EPCC) contract from Mrails Tram (Melaka) SB on 23Dec.

Maybank Investment Bank Bhd and SapuraCrest Petroleum Bhd, via its wholly-owned subsidiary Aurabayu Sdn Bhd, have completed the signing of Aurabayu's syndicated Islamic financing facilities of up to RM750mil comprising ringgit Malaysia and US dollar denominated tranches. Maybank Investment acted as the mandated lead arranger and bookrunner. “The syndication received strong demand from both domestic and international banks, and closed with a total of six participating financiers,” the bank said in a statement yesterday.

Sapura Crest Petroleum and Kencana Petroleum are in the running to bag major oil and gas contracts for the development of marginal oil fields, expected to be announced by Prime Minister Datuk Seri Najib Razak at thebriefing on the progress of Economic Transformation Programme (ETP) today.

Ancom Logistic Bhd will resume trading from 9am  following the completion of its regularisation plan. The company's additional 209.50 million new shares issued following the acquisition of the entire stake in Synergy Translinik Sdn Bhd would be listed on Tuesday.

Transmile is selling four of its aircraft to Federal Express Corporation for US$68 million (RM208.8 million) which would enable it to reduce its debts by 39% to about RM320.1 million.The company said it had has signed a sale and purchase agreement with FedEx to sell four MD-11F aircraft for US$17 million (RM52.2 million) each to be satisfied entirely in cash.

Kumpulan Perangsang Selangor (KPS) has received the conditional offer by Menteri Besar Selangor Inc (MBI) to acquire all the voting shares in Konsortium Abass SB (Abass) and Syarikat Pengeluar Air Sungai Selangor SB (Splash) for RM9.39 per share and RM5.95 per share. Abass is 100%-owned by Titian Modal SB, which in turn is 55%-owned by KPS, while Splash is 30%-owned by KPS, with the remainder owned by Gamuda (40%)
and TSWA (30%).

Malaysian Resources Corp Bhd (MRCB) and Ekovest said they have not received any letter of award yet from the Government for a portion of the clean-up job for Klang River. Both companies said they will make the appropriate and timely announcements to Bursa Malaysia, with MRCB adding that the company constantly seeks new opportunities.

Proton Holdings has not ruled out the possibility that it is in talks with Indian automobile manufacturer Hindustan Motors to assemble its vehicles for the Indian market. “We are in talks with several parties in India. Right now, it's still too early to comment,” group managing director Datuk Syed Zainal Abidin Syed Mohamed Tahir told StarBiz yesterday. He was responding to a report by The Times of India that Proton was close to tying up with Hindustan Motors for a contract manufacturing agreement to assemble its cars for the Indian market. When asked if Hindustan Motors was one of the parties that Proton was in talks with, Syed Zainal said: “I think that can be implied.” Hindustan Motors is known for its Ambassador car that is widely used as a taxi and government limousine.

KYM Holdings has been awarded a contract valued at RM585,911 by Vale International SA for the provision of consultancy services for the acquisition of land and development order approval. KYM said in an announcement to Bursa Malaysia yesterday that Vale had instructed it to acquire the land for the construction of a 2.5km-long jetty and for the construction of temporary site office facilities for their proposed iron ore distribution centre and pellet plant in Teluk Rubiah, Perak.

Johor Corp (JCorp) will not be selling any of its assets to repay bondholders’ RM3.6bil when the papers are due on July 31, 2012. JCorp’s newly-appointed chief executive officer Kamaruzzaman Abu Kassim said the plan was to refinance the debt.

The board of Olympia Industries Bhd has clarified that the company has expressed interest to acquire all the equity shares in Pan Malaysian Pools Sdn Bhd from Tanjong plc, a company which has been taken private by T. Ananda Krishnan.

Proton will spend £480m on Group Lotus plc to turnaround the company and the financing will be secured via internally generated and externally secured funding during the turnaround period. Proton also confirmed its unit Group Lotus plc is teaming up with Renault F1 Team Ltd for the title sponsorship of the Renault F1 Team which will take part in the Formula One World Racing Championship season beginning 2011 onwards.

Kencana Petroleum posted net profit of RM52.35 million in the first quarter ended Oct 31, 2010, up 70% from RM30.82 million a year ago and was upbeat for the current financial year on rising demand for its engineering and fabrication of oil and gas production facilities. Revenue rose 20% to RM336.96 million from RM281 million a year ago while pretax profit increased by 63% to RM68.10 million from RM41.80 million. Earnings per share were 3.16 sen compared with 3.41 sen.

The Naza brothers Sheikh Mohd Nasarudin SM Nasimuddin and Sheikh Mohd Faliq SM Nasimuddin have resigned as directors of Kumpulan Jetson. The group told Bursa Malaysia yesterday that the resignations of Nasarudin, 27, and Faliq, 25, came into effect the same day. The brothers were deemed interested by virtue of their interest in Superior Pavillion, which owns 13.12 million Jetson shares. Jetson also announced yesterday that the brothers had disposed of 4.37 million Jetson shares, or 7.22% stake, for RM1.05 each on 8 Dec. They were believed to initially have big plans for the company but lost interest after disagreements with other shareholders, stemming from unsettled financial issues within Jetson.

KFC Holdings (M) Bhd, which holds the franchise to operate KFC and Pizza Hut restaurants in Malaysia, Singapore and two cities in India from Yum! Brands Inc, has acquired Kernel Foods Pte Ltd, a Mumbai-based restaurant operator for RM83,565.

BSKL is expected to trade higher this week with the benchmark FTSE Bursa Malaysia Kuala Lumpur Composite Index (FBM KLCI) likely to move towards 1,530 with a strong upside momentum, dealers said. Affin Investment Bank head of retail research, Dr Nazri Khan, said despite profit-taking last week, the benchmark index was likely to get positive spillover from the improving US and Europe. We believe that global tensions have already been factored in by the correction seen last week. We can sense that the flip-flop hot money obviously is making a comeback with year-end bargain-hunting driving the local stocks higher, he said.

Kencana proposed to raise funds via:
  1. a proposed issuance of up to 5-year RM350m nominal value Islamic          Securities with detachable warrants on a “bought deal” basiswith AmInvestment Bank as the primary subscriber;
  2. a proposed offer for sale by the primary subscriber of the provisional rights to the allotment of the Kencana warrants at an issue price to be determined later.
  3. a proposed 10% private placement of new ordinary shares of RM0.10 each in Kencana. In addition, Kencana also proposed to increase its authorised share capital from RM200m divided into 2bn ordinary shares of RM0.10 each to RM300m divided into 3bn shares.

Myagri Group of Companies, an agro-biotechnology outfit, plans to list its unit either on the local or a foreign bourse to raise RM30 million to finance its expansion plans. Myagri helps oil palm plantations convert their waste at the mill into organic matter, enriching it with bio fertiliser microbes. This produces organic fertilisers that are not just good for crops but also protects their health.

The former executive director of Johor Port, Abdul Khalid Khan Lal Khan, is set to lead a revamp of Tanjung Langsat Port (TLP), which will include the set-up of a free trade zone. According to sources, Abdul Khalid will take over the running of TLP to make it a full-fledged container port that will tap the demand in Pasir Gudang. Currently, TLP, now owned by Johor Corp, is operating as a private jetty. It was set up with the aim of making it the largest biodiesel hub in the world.

DiGi.Com announced that the domestic roaming agreement between its wholly-owned unit DiGi Telecommunications SB and U Mobile SB has been terminated yesterday. The agreement was in relation to giving U Mobile access to DiGi Telecommunications’ 2G GSM network for the provision of public telecommunications services in Malaysia.

Ramunia Holdings Bhd's unit O&G Works Sdn Bhd (OGW) is teaming up with Dongnam  Marine  Crane  Co Ltd (DMC) from South Korea to undertake the joint manufacturing of cranes.

KENCANA subsidiary Kencana Hl has secured project from Sarawak Shell for the fabrication of compression modules and tie-in modifications -worth RM275m.

TimeCom plans to buy Global Transit Communications (GTC) for RM106m, Global Transit Ltd (GTL) for RM105m and AIMS Group for RM128m. All three are profitable and are expected to enhance TdC's earnings immediately upon purchase. GTC -wholesale Internet service and backhaul provider, GTL -owns 10% in the much-coveted trans-Pacific submarine cable, Unity North Cable System. AIMS Group -owns one of the region's leading network-neutral data centres. 

P&O insurance business is believed to still be on the radar of other foreign parties despite Prudential Holdings Ltd dropping out of the acquisition talks for the local general insurer.

GPacket posted net losses of RM13.71 million in the third quarter ended Sept 30, 2010, a decline from the net loss of RM31.84 million a year ago. Revenue rose 60% to RM100.89 million from RM63.03 million. Loss per share was 2.1 sen versus eight sen. Green Packet’s total borrowings as at Sept 30 totalled RM237.01 million. Its total turnover was the nine-month period was RM277.71 million compared with RM160.99 million while loss per share was RM56.82 million compared with RM81.93 million.

Amway (Malaysia) Holdings Bhd net profit for the third quarter ended Sept 30, 2010 rose marginally to RM21.51 million from RM20.48 million a year ago due to increase in sales revenue.Amway declared a third interim single tier dividend of 9 sen net per share and special interim single tier dividend of 30 sen net per share for the financial year ending Dec 31, 2010.


Mas expects its newly launched Eastern hub in Kota Kinabalu to contribute between RM60m and RM100m to net profit by June 2011. The hub will be developed over three stages from 15 November 2010 to 3 June 2011. A total of six aircraft, two new B737-800 and four B737-400 as well as 150 pilots and 250 cabin crew will be based in Kota Kinabalu by June 2011.

Malayan Banking Bhd's earnings were RM1.028 billion in the first quarter ended Sept 30, 2010, up 16.6pct from RM881.80 million a year ago. It said on Friday, Nov 12 revenue rose to RM5 billion from RM4.56 billion. Earnings per share were 14.53 sen versus 12.46 sen.

AMMB earnings up 38.6pct to RM332.8m
AMMB Holdings Bhd's earnings rose 38.6pct to RM332.87 million in the second quarter ended Sept 30 (2QFY11), from RM240.15 million a year ago, boosted by an increase in interest income. It said on Friday, Nov 12, revenue rose 11.9pct to RM1.77 billion from RM1.584 billion. Earnings per share were 11.09 sen compared with 8.29 sen. It declared an interim dividend of six sen per share.  

BNM keeps OPR unch 2.75pct, vigilant of volatile capital flows
Bank Negara Malaysia maintained the overnight policy rate (OPR) at 2.75pct and said monetary policy would continue to remain accommodative and supportive of economic growth. However, it remained vigilant of large, volatile capital flows.

BRDB, a commercial and residential developer, is planning a RM652m joint development in Seri Kembangan, Selangor, with Country Heights Land SB. The project, with an estimated gross development profit of RM170m, would comprise 310 units of semi-detached houses and 13 units of bungalows sprawled over 192,561 sq m within the so-called Bluwater Estate. The construction for the proposed development is expected to commence in the last quarter of 2011 and completed within five years. Under the JV Bandar Raya and Country Heights Land will take up 75% and 25% stake respectively in an SPV purpose vehicle to undertake the development.   (Malaysian Reserve) 

TCHONG last Friday announced it will invest RM285m to build cars in Sabah after it received an approval letter from the International Trade and Industry Ministry for its application of a licence to manufacture and assemble luxury passenger vehicles and commercial vehicles. Tan Chong said the approval letter was on condition that the manufacturing and assembly activities would be for luxury passenger cars with 1,800cc and above and costing no less than RM150,000. The licence is for Tan Chong to conduct manufacturing of vehicles at the Kota Kinabalu Industrial Park (KKIP), Sabah, which was built to establish Sabah as the gateway to the Brunei-Indonesia-Malaysia-Philippines-East ASEAN Growth Area (BIMP-EAGA). Kencana and its technical partner London-based Petrofac Ltd have emerged as front runners to bag a USD250m (RM780m) engineering, procurement, construction and commissioning (EPC)job at Block PM313, the Sepat oil field. The Sepat oil field is a marginal field in offshore of Terengganu under the purview of the National oil company Petroliam Nasional Bhd (Petrogas). According to industry players, Sepat has large oil reserves that have yet to be fully recovered. With the high crude oil prices and increasing difficulties in exploring new oilfields, Petronas intends to improve oil recovery in the brown fields. Apart from Kencana and Petrofac, there were two other JV companies vying for the job, namely (MMHE) together with its partner, France-based Technip SA, as well as Australian company Roc Oil forming a partnership with local player Griffin Energy Ltd. Petronas Chemicals Group Bhd has fixed the price of its initial public offering (IPO) at RM5.04 a share for the portion reserved for retail investors and at RM5.20 apiece for shares to be sold to institutional investors. The IPO would raise RM12.8bn, of which RM9.2bn was to be accrued to parent company Petroliam Nasional Bhd (Petronas), the company said in a statement yesterday. Based on the institutional price, Petronas Chemicals’ market value will be RM41.6bn, making it one of the largest petrochemical producers in South-East Asia. (StarBiz)
